1. DEFINITIONS

“Brand” means KAOHM, the consumer-facing brand offering food/organic products through digital and physical commerce channels.
“Operator” refers to BleuGold, which currently owns and operates the KAOHM brand.
In the future, “Operator” may include any affiliated, associated, assigned, or successor legal entity that owns, controls, or manages the KAOHM brand.
All rights, responsibilities, agreements, and obligations under these Terms shall transfer to such successor Operator without requiring amendment to these Terms.
“Platform” means the KAOHM website, mobile application, digital storefronts, and any services or products offered online or offline.
“User”, “You” means any natural person or legal entity accessing, purchasing, or interacting with the Platform or KAOHM products.
“Products” means food, organic, nutritional, wellness, packaged goods, and related consumer products marketed under the KAOHM brand.
“Services” means all services offered by the Operator, including e-commerce, logistics, support, communication, IoT features (if applicable), and digital access.

2. LEGAL CAPACITY & OPERATOR STRUCTURE

(a) Current Structure: KAOHM is a brand owned and operated by BleuGold.
(b) Future Structure: If KAOHM becomes a separate legal entity or subsidiary, the term “Operator” will automatically refer to that new entity.
(c) Non-Brand Liability: The brand KAOHM is not a legal person and cannot hold liabilities — only the Operator does.

3. JURISDICTION & REGULATORY COMPLIANCE

3.1 Operating Jurisdiction
Operator conducts business from India and sells to global customers.

3.2 Regulatory Bodies Considered

Food Compliance: FSSAI (India), FDA (USA labeling context), Codex Alimentarius (International)
Consumer Protection: CPA 2019 (India)
Data Protection:
- DPDP Act 2023 (India)
- GDPR (EU) for EU data subjects
- CCPA (California) for CA consumers
- ISO/IEC 27001 principles for security alignment (non-certified unless declared)

3.3 Cross-Border Considerations
International buyers agree to comply with:

Import laws of the destination country
Duties, taxes, brokerage fees
Customs clearance rules

4. ACCEPTANCE OF TERMS

By accessing or using the Platform or purchasing Products, you acknowledge that:
✔ You have read these Terms
✔ You accept and agree to be bound by them
✔ You are legally capable of entering a binding contract

If you do not agree, you must not use the Platform or buy Products.

5. PRODUCT INFORMATION & LABELING

Product claims comply with applicable FSSAI labeling norms in India.
Operator does not guarantee evaluations by FDA or other regulators unless explicitly stated.
Nutritional, allergen, and ingredient data are provided on packaging and may vary batch to batch.
For global shipments, labeling may follow Codex guidelines for harmonization.

6. ORDERING, PAYMENT & PRICING

6.1 Order Acceptance
Order placement does not equal order acceptance. Operator reserves right to:

Reject orders
Limit quantities
Cancel transactions
Deny service

6.2 Pricing
Prices may include or exclude:

GST/VAT
Customs duties
Shipping fees

Prices may change without notice.

6.3 Payments
Payments may be collected via:

UPI, Debit, Credit, Net Banking (India)
International Cards
Wallets
BNPL partners (if applicable)

Payment providers are treated as data processors under applicable data laws.

7. SHIPPING, DELIVERY & RISK OF LOSS

7.1 Domestic Deliveries (India)
Delivered via registered logistics partners with tracking.

7.2 International Deliveries
Customs, brokerage, and destination taxes are borne by the buyer.

7.3 Risk Transfer
Risk transfers upon handover to the shipping carrier unless local laws mandate otherwise.

8. RETURNS, REFUNDS & CANCELLATIONS

Handled in accordance with:

Indian Consumer Protection Act 2019
Distance Selling Guidelines (global customers when applicable)

9. WARRANTIES & DISCLAIMERS

Food and consumable products carry limited shelf-life warranties only.

10. USER CONDUCT

User agrees not to:

Violate law or regulatory statute
Misuse the Platform
Conduct fraud, chargebacks, or abuse
Infringe IP or attempt reverse engineering
Interfere with IoT, APIs, or infrastructure (if applicable)

11. INTELLECTUAL PROPERTY

All IP including:

Trademarks (KAOHM, BlueGold, logos)
Packaging design
Product formulas
Software
Website content

remain property of Operator or licensor. Unauthorized use prohibited.

12. DATA PRIVACY & PROTECTION

Operator acts as:

Data Fiduciary under DPDP Act (India)
Data Controller under GDPR
Business under CCPA

Data handling is governed by the Privacy Policy.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

Operator is not liable for indirect, consequential, punitive damages.
Liability is limited to the amount paid for the product or service.

Nothing excludes liability for fraud, gross negligence, or mandatory statutory obligations.

14. INDEMNIFICATION

User agrees to indemnify Operator against losses from:

Breach of Terms
Illegal use of Platform
IP violations
Fraudulent activities

15. GOVERNING LAW & DISPUTE RESOLUTION

15.1 Primary Jurisdiction: Courts of City,IndiaCity, IndiaCity,India
15.2 International Users: Governed by conflict-of-law principles unless overridden by non-waivable consumer rights.
15.3 Disputes: May require arbitration if specified in future revisions.

16. MODIFICATIONS & TERMINATION

Operator may:

Modify Terms
Discontinue services
Restrict access
Update legal documents

without prior notice where legally permitted.

17. ASSIGNMENT & SUCCESSION (FUTURE-PROOF CLAUSE)

All rights under these Terms may be assigned or transferred by the Operator to:

Subsidiaries
Affiliates
Successor entities
Acquiring companies

without requiring user consent.

This ensures:

✔ Corporate restructuring compatibility
✔ Acquisition compatibility
